1. Agreement to Terms

By accessing or using Lab Sage ("Service"), operated by Lab Sage ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

Lab Sage is an AI-powered educational health information tool that interprets laboratory test results using functional medicine optimal ranges. The Service is offered in two tiers:

  • Consumer Tier: Provides educational health insights, lifestyle recommendations, and informational context about lab results for individual users.
  • Practitioner Tier: Provides clinical decision support information for verified healthcare professionals, including expanded clinical context and differential considerations.

3. IMPORTANT MEDICAL DISCLAIMER

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

3.1 Not Medical Advice

Lab Sage provides educational and informational content only. The Service does NOT provide medical advice, diagnosis, treatment recommendations, or clinical care. No provider-patient relationship is created between you and Lab Sage, the Company, or any individual associated with the Company.

3.2 Not a Medical Device

Lab Sage is not a medical device as defined under the Federal Food, Drug, and Cosmetic Act. Lab Sage has not been cleared, approved, or authorized by the U.S. Food and Drug Administration (FDA). The Service is intended to function as a clinical decision support tool exempt from device regulation under Section 3060 of the 21st Century Cures Act, meaning:

  1. It is not intended to acquire, process, or analyze a medical image, signal, or pattern;
  2. It is intended for the purpose of displaying, analyzing, or printing medical information about a patient or other medical information;
  3. It is intended for the purpose of supporting or providing recommendations to a healthcare professional about prevention, diagnosis, or treatment of a disease or condition; and
  4. It is intended for the purpose of enabling such healthcare professional to independently review the basis for such recommendations so that the professional is not intended to primarily rely on any of such recommendations to make a clinical diagnosis or treatment decision regarding an individual patient without independently reviewing the patient's medical information.

3.3 No Substitute for Professional Medical Care

Always consult a qualified healthcare provider before making any health decisions based on information provided by Lab Sage. Do not disregard, avoid, or delay obtaining medical advice from your healthcare provider because of information you obtained from Lab Sage. If you are experiencing a medical emergency, call 911 or your local emergency number immediately.

3.4 AI Limitations

Lab Sage uses artificial intelligence to analyze lab results. AI systems can and do make errors. The interpretations provided by Lab Sage:

  • May be incomplete, inaccurate, or inappropriate for your specific clinical situation
  • Do not account for your full medical history, medications, symptoms, physical examination findings, or other diagnostic information
  • Should never be the sole basis for any health decision
  • Are generated by AI models that may produce inconsistent results

3.5 Assumption of Risk

By using Lab Sage, you expressly acknowledge and agree that:

  1. You understand that Lab Sage provides educational information only and is not a substitute for professional medical judgment;
  2. You will consult with a qualified healthcare provider before making any health decisions;
  3. You assume all risk associated with your use of the Service and any actions you take based on information provided by the Service;
  4. The Company is not responsible for any health outcomes resulting from your use of or reliance on the Service.

4. Practitioner Tier — Additional Terms

4.1 Verification Required

The Practitioner tier is available only to licensed healthcare professionals who have been verified through National Provider Identifier (NPI) validation. By accessing the Practitioner tier, you represent and warrant that you hold an active, unrestricted license to practice medicine, nursing, or another qualifying healthcare profession.

4.2 Clinical Decision Support Only

The Practitioner tier provides clinical decision support information. All clinical information, differential diagnoses, treatment considerations, and dosing suggestions are provided as decision support only. The treating healthcare professional retains sole responsibility for:

  1. Independently evaluating all clinical information;
  2. Exercising independent clinical judgment;
  3. Making all diagnosis and treatment decisions;
  4. Obtaining informed consent from patients; and
  5. Complying with all applicable laws, regulations, and professional standards.

4.3 Not a Practice of Medicine

The Service does not constitute the practice of medicine, nursing, or any other healthcare profession. The Company does not engage in clinical practice through the Service.

5. User Accounts and Eligibility

5.1 Account Creation

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Age Requirement

You must be at least 18 years of age to use Lab Sage. If you are under 18, a parent or legal guardian must create the account and supervise your use.

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

6. Subscriptions and Payment

6.1 Billing

Subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

6.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6.3 Price Changes

We reserve the right to change subscription prices with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

7. Acceptable Use

You agree NOT to:

  1. Use the Service for any purpose that is unlawful or prohibited by these Terms;
  2. Upload lab results belonging to another person without their explicit consent;
  3. Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms;
  4. Use the Service to generate content that is false, misleading, or intended to deceive;
  5. Resell, redistribute, or commercially exploit the Service without written permission;
  6. Upload content that contains malware, viruses, or other harmful code;
  7. Use automated means (bots, scrapers) to access the Service without permission.

8. Intellectual Property

8.1 Our IP

The Service, including its design, features, AI models, clinical knowledge base, and all associated intellectual property, is owned by the Company. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.2 Your Data

You retain ownership of all lab data you upload to the Service. By uploading lab data, you grant us a limited, non-exclusive license to process, analyze, and display your data solely for the purpose of providing the Service to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY HEALTH DECISIONS MADE BASED ON INFORMATION PROVIDED BY THE SERVICE; (D) ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE SERVICE'S ANALYSIS OR RECOMMENDATIONS; (E) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA OR TRANSMISSIONS.

10.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  1. Your use of the Service;
  2. Your violation of these Terms;
  3. Your violation of any third-party rights;
  4. Any health decisions you make based on information from the Service;
  5. Your upload of any data that you did not have the right to upload.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

12.2 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@labsage.ai. We will attempt to resolve the dispute within 30 days.

12.3 Arbitration

Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Bell County, Texas. The arbitrator's decision shall be final and binding.

12.4 Class Action Waiver

YOU AND THE COMPANY AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines that this class action waiver is void or unenforceable, the entire arbitration agreement shall be null and void.

12.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for matters related to intellectual property or unauthorized access to the Service.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Modifications

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13.6 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet outages.
